THE SERVICE
Fundraise In Days Inc. connects donors to fund raising projects that are in need of financial support. Groups are able to create and post a description of their project on fundraiseindays.com. Groups can then email the listing to potential donors. Funds will be held in trust in Fundraise In Days Inc. corporate bank account until the Group's campaign has ended.

Charities and non-profit organizations can advertise fund raising campaigns, special events and direct donations for free.

Fundraising groups or individuals become members of Fundraise In Days Inc. by registering an account on fundraiseindays.com.

Groups must designate a Group Leader. Responsibilities of the Group Leader include but are not limited to: registration, creation and monitoring of the listing, contact person, receiving of funds when campaign ends.

Online transactions will occur between the donor and Fundraise In Days Inc.

Funds will then be paid to the group by cheque. The cheque will be mailed to the attention of the Group Leader.

Fundraise In Days Inc. will collect a 10% administration fee on all funds raised.

ACCEPTANCE OF TERMS
To participate in and utilize the services provided by Fundraise In Days Inc. you must register as a member of Fundraise In Days Inc. If you choose to register, you must submit a valid e-mail address, mailing address, phone number, the name of your group and contact person, select a password and user name and provide certain limited, current, complete and accurate information about yourself and your organization ("Registration Data"). Fundraise in Days Inc. reserves the right to refuse membership.

Member, by its designated Group Leader warrants that he or she is at least 18 years of age, has the requisite capacity and lawful authority to enter into this Agreement and bind the Member, and accepts and agrees to be bound all of the following terms and conditions:

CONFIDENTIALITY AND RECORDS
You are responsible for maintaining the confidentiality of your member name and password and for all use of your account, whether or not you've authorized such use, and for maintaining the confidentiality of other member's contact information. You must maintain and update Registration Data as required to keep it current, complete and accurate. You are to notify Fundraise In Days Inc. immediately of any unauthorized use of your account.

TRANSACTIONS BETWEEN GROUPS OR INDIVIDUALS
You hereby authorize Fundraise In Days Inc. to collect funds on your behalf, until the fundraising campaign ends. You understand and acknowledge that Fundraise In Days Inc. does not oversee or monitor the actions, performance or punctuality of the Group Leader. After collected funds have been transferred or paid to the Group Leader, Fundraise In Days Inc. shall have no further responsibility to you and all subsequent dealings are will be solely between you and the organizations and/or individuals for whom you have raised funds.

GROUP ACTIONS AND OTHER CONTENT
Uploading or posting of content onto the Fundraise In Days Inc site, including but not limited to, photos, personal profile(s), and forum messages, will be at the Members’ sole risk and responsibility. Fundraise In Days Inc. may from time to time review and delete any content that violates the terms of this Agreement or which it deems offensive, illegal, misleading, disruptive, derogatory, inflammatory, harassing, libellous, abusive, obscene or otherwise objectionable, that may harm the safety of or violate the rights of other users and members, that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights, that collects or solicits information about other users or members, that transmits or posts unsolicited or unauthorized advertising, spam, junk mail, or which may contain any viruses or material designed to disrupt, limit or destroy any functionality of any computer software or hardware.

You expressly agree that use of the services and/or any graphics or other content you download from the Fundraise In Days Inc. site is provided on an "as is" basis and at your sole risk and that you will be solely responsible for any damage to your computer system or for any loss of data that results from the download of files, software, services and/or any graphics or other content.

Copyright and Trademarks
Trademarks, logos, icons, images and names identifying Fundraise In Days Inc. products and services are proprietary to and the property of Fundraise In Days Inc., and subject to copyright. You may not use, post, distribute, reproduce or sell such proprietary property in any way without the prior written permission of Fundraise In Days Inc. All rights not expressly granted in this Agreement are reserved to Fundraise In Days Inc.

Termination
This Agreement shall terminate upon completion of the fundraising campaign and the transfer and payment of funds to the Group Leader. Members may terminate this Agreement at any time by notifying Fundraise In Days Inc. by e-mail to rob@fundraiseindays.com. Upon receipt of such termination notice Fundraise In Days Inc. will terminate your account. Fundraise In Days Inc. may, at its sole discretion, suspend access to or terminate the service, with or without notice in the event of a breach of any term or condition of this Agreement by Member or anyone accessing the service using Member's username, for posting frivolous content or unrealistic targets or appropriating the name, likeness, email address, or other personally identifiable information of another individual.

Disclaimer of Warranties
Fundraise In Days Inc. expressly disclaims any and all warranties of any kind, whether express, implied, statutory or otherwise, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement, that the services, software and/or any graphics or other content you download from the Fundraise In Days Inc. site will meet your requirements or will be uninterrupted, timely, secure, or error free, as to the accuracy or reliability of any information obtained through the service or as to the results that may be obtained from the use of the service, or regarding the performance or fairness of the payment service or third party service providers.

Limitation of Liability
In no event shall Fundraise In Days Inc. be liable to you or to any third party for any loss, cost or expense or for any direct, indirect, incidental, special or consequential damages resulting from the use or the inability to use the service, software and/or any graphics or other content of the site, including but not limited to any third party content uploaded onto or downloaded from the service, for any delay or failure to perform resulting directly or indirectly from any causes beyond Fundraise In Days Inc. reasonable control, for damages or for loss of profits, even if Fundraise In Days Inc. has been advised of the possibility of such damages, or for your interactions with any organizations and/or individuals found on or through the Fundraise In Days Inc. service or arising as a result of disputes between Members and Group Leaders or any third parties involved with fundraising activities.

Indemnity
You hereby agree, at your sole expense, to indemnify, defend and hold Fundraise in Days Inc., harmless from and against any loss, cost, damages, liability, and/or expense arising out of or relating to (a) third party claims, actions or allegations of infringement based on information, data or content you submitted in connection with the service, (b) any fraud or manipulation, or other breach of this agreement, by you, or (c) third party claims, actions or allegations brought against Fundraise In Days Inc. arising out of your use of the service or software.

General Terms
This Agreement is governed in all respects by the laws of the Province of Ontario, and the federal laws of Canada, and any dispute arising hereunder shall be submitted to provincial and federal courts in Ontario. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Failure to act with respect to a breach by you does not waive Fundraise In Days Inc. right to act with respect to subsequent or similar breaches. You may not assign or transfer this Agreement or any rights hereunder, and any attempt to the contrary is void. This Agreement shall inure to the benefit of and be binding upon each party's successors and assigns. Any notice required or given to you under this Agreement shall be delivered by electronic mail at the e-mail address provided by you during registration. This Agreement constitutes the complete and exclusive understanding and agreement of the parties relating to the subject matter hereof and supersedes all prior understandings, proposals, agreements, negotiations, and discussions between the parties, whether written or oral. You agree that Fundraise in Days inc. may modify the terms of this Agreement or the Privacy Policy, at our sole discretion, by posting amended terms to its Web site. You understand and agree that you are solely responsible for reviewing the terms of this Agreement from time to time and your continued use of the service indicates your acceptance of the amended terms of this Agreement.
